Constitution Mississippi Oil Painters Association as Amended (7-2-2022)

 

Mission Statement

PROMOTING INTEREST IN ART ACROSS THE STATE AND ENCOURAGING THE PROFESSIONAL DEVELOPMENT OF MISSISSIPPI ARTISTS.

Article 1: NAME

The name of this association shall be the Mississippi Oil Painters Association.

Article II: OBJECTIVES

The Mississippi Oil Painters Association shall encourage individual art development as well as group development.

Article III: MEMBERSHIP

Sec. 1 Membership shall be open to persons residing in the state of Mississippi. 

Sec. 2 Membership shall be open to Mississippians who paint in oils at a professional level.

Sec 3. Annual dues are $75 which are due before payable by December 15 of each year.

Sec. 4.  There shall be 4 levels of membership: Founding, Active, Honorary, and Emeritus.

Article IV: OFFICERS

Sec. 1. The officers shall be President, Vice President-Membership, Vice President- Meetings, Secretary, Treasurer, Show Chairman and Social Media Chairman. Officers shall be elected for two years or until successors have been elected and installed. The Executive Committee shall be composed of the elected officers.

Sec. 2. The President shall appoint a nominating committee. New officers will assume duties upon installation and will preside at the meetings beginning in January.

Sec. 3. The officers shall perform the duties described in the by-laws and any additional duties assigned by the President.

Sec. 4 The Executive Committee shall have the power to name persons or committees necessary for conducting the business of the organization.

Sec. 5. An officer may be re-elected for an additional term.

Sec. 6. Should the President not be able to assume her duties, the Vice President – Membership will become President and another Vice President appointed by the President. Other offices vacated shall be filled by an appointee of the Executive Committee.

Sec. 7. The Executive Committee shall be composed of the elected officers of the Mississippi Oil Painters Association. This committee shall exercise all of the usual powers of directors of a business organization and the immediate government and direction of the affairs of the Mississippi Oil Painters Association.

Article V: MEETINGS

Sec. 1. The regular meetings of the Mississippi Oil Painters Association will be held quarterly, unless otherwise directed by the executive committee.

Sec. 2. Members who wish to remain active in a MOPA show must attend 1 meeting within the Calendar Year.

Article l: DUES AND NEW MEMBER ELECTION 

Sec. 1. Dues
Annual dues of $75 are due December 15. Dues invoice and billing shall be emailed/mailed by November 1. 

Sec. 2. New Members:
(a) Honorary Membership. Nominations for honorary memberships are submitted by any member (honorary or active) in good standing to the Executive Committee. At the discretion of the Executive Committee, invitation for honorary membership will be extended. The number of Honorary Members shall not exceed 5. 

(b) Active Membership. At the discretion of The Executive Committee, invitations may be issued for Active Membership through juried selection to prospects who have been nominated by an active member in good standing for at least 3 years. Any such nomination must be cosigned by any 2 other active members in good standing of any duration. Only one nomination per year by an active associate member is allowed. 

(c) The total membership number is to be determined and maintained by the executive committee, per membership’s persuasion and opinion 

Article II: OFFICER DUTIES 

Sec. 1. The President shall preside at all meetings, appoint committee chairmen and rule on all points of order. 

Sec. 2. The Vice President-Membership, in the absence of the president shall preside and perform the duties of the President. 

Sec. 3. The Vice President-Meetings, shall coordinate, schedule, and execute all things necessary to conduct the quarterly meetings of the membership. 

Sec. 4. The Secretary shall send dues invoices by email/mail to all members, record, e-mail, and read minutes of regular meetings, maintain all records of MOPA, keep a record of members in good standing and perform all duties assigned by the President. 

Sec. 5. The Treasurer shall receive, pay, and bank all monies of MOPA, keep records of such funds, and give a financial report at each meeting. 

Sec. 6. The Show Chairman shall plan and execute arrangements of the art show under approval of the executive committee. 

Sec. 7. The Social Media Chairman will compile and distribute the newsletter and organize all publicity, and will keep, develop, and maintain a current MOPA website.

Sec. 8. The Past President will provide the executive committee with historical reference, serve as parliamentarian for all meetings and assist in ensuring that show rules and other standing rules are current and followed by the executive committee and membership. 

 

Article III: Amendments 

Sec. 1. The Constitution and these By-Laws may be amended upon recommendation of the Executive Committee. Proposed amendments must be presented in writing at a quarterly meeting of the membership. 

Sec. 2. All MOPA members shall be given notice of all proposed amendment electronically. The notice shall include a complete verbatim copy of the language of all proposed amendments upon which a vote is going to be taken.   The time to respond will be designated on the email.

Sec. 3. The amendment shall be adopted by a vote of two-thirds or 67% of the votes cast.
